1. Acceptance of Terms

By accessing or using the Metagraph website (the "Site") and any services provided by Metagraph Technologies Inc. ("Metagraph", "we", "us", "our"), including our AI agent services (collectively, the "Services"), you agree to comply with and be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Site or Services.

2. Description of Services

Metagraph provides AI agents designed to automate business tasks, such as appointment scheduling, through agent-to-agent communication protocols. We also provide related information and resources through the Site. The specific features and functionalities of the Services may evolve over time.

3. User Accounts and Responsibilities

Certain Services may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information when creating your account and to update it promptly if necessary. You agree not to use the Services for any unlawful or prohibited purpose.

4. Use of AI Agents

Our AI agents interact with other AI agents (including those belonging to end consumers) based on predefined protocols and the information you provide or make accessible (e.g., calendars, business rules). You are responsible for ensuring the accuracy of the information your agent relies upon. While we strive for high accuracy and reliability, Metagraph is not responsible for errors or failures in task completion due to incorrect data, system outages, or unforeseen complexities in agent interactions.

You grant Metagraph the necessary permissions to operate the AI agents on your behalf, including accessing specified systems and communicating with third-party agents as required to fulfill requested tasks.

5. Intellectual Property

The Site, Services, and all related content, features, and functionality (including but not limited to text, graphics, logos, icons, images, software, and the design and arrangement thereof) are the exclusive property of Metagraph and its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

6. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. METAGRAPH DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

7. Limitation of Liability

IN NO EVENT SHALL METAGRAPH, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (III) ANY CONTENT OBTAINED FROM THE SERVICES; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

8. Indemnification

You agree to defend, indemnify, and hold harmless Metagraph and its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms.
